These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Vitreous Alliance, LLC, doing business as P98 Gateway (“P98 Gateway,” “we,” “our,” or “us”). These Terms govern your access to and use of the P98 Gateway website, merchant portal, payment gateway, APIs, payment processing services, recurring billing features, ACH payment services, and all related products and services.
1. Acceptance of Terms
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a business entity, you represent that you have authority to bind that entity.
2. Services
P98 Gateway provides secure payment gateway technology, payment processing integrations, merchant onboarding, recurring billing functionality, invoicing tools, ACH payment capabilities, reporting, APIs, and related payment technologies. Availability of specific features may vary based on your merchant agreement, processor, financial institution, or jurisdiction.
3. Merchant Responsibilities
You agree to provide accurate and complete information, maintain the confidentiality of account credentials, promptly notify us of any unauthorized use, comply with all applicable laws and regulations, and maintain compliance with applicable PCI DSS requirements when handling payment card information.
4. SMS Communications
By providing your mobile telephone number, you expressly consent to receive SMS messages relating to account verification, one-time passwords, payment confirmations, payment reminders, merchant onboarding, customer support, fraud alerts, security notifications, and other service-related communications. Promotional or marketing text messages will only be sent where you have provided the legally required consent. Message frequency may vary. Standard message and data rates may apply. You may opt out at any time by replying STOP to any message or obtain assistance by replying HELP. Consent to receive text messages is not a condition of purchasing services except where necessary for account authentication or fraud prevention.
5. Intellectual Property
All software, source code, trademarks, logos, graphics, documentation, website content, and other intellectual property associated with the Services remain the exclusive property of P98 Gateway or its licensors. No rights are granted except as expressly stated in these Terms.
6. Limitation of Liability
To the fullest extent permitted by applicable law, P98 Gateway shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the use of the Services, including lost profits, business interruption, loss of data, or loss of goodwill.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia without regard to its conflict of law principles. Any dispute shall be resolved in the appropriate state or federal courts located within Georgia.
